“Tax Boot Camp for the Merger & Acquisition Professional”

“Succession Planning: Exit Strategies for the Privately Held Company” Learn the steps in developing an ownership succession plan that meet the objectives of the
owners, employees and other stakeholders. Topics include: business valuations, minority discounts, estate, gift and income tax saving strategies, advantages and disadvantages of
ESOPs, and positioning strategies to maximize the price when selling to third parties. The course will explain the advantages of A-B Trusts, Family Limited Partnerships, selling to
family members using installment sales, private annuities and SCINs, and selling a business using a Charitable Remainder Trust. Course materials include checklists to evaluate family,
employee, or outside successors, along with other checklists, articles and a glossary of business valuation terms.
“Maximizing the Value of the Privately Held Company”
This course is a must for any intermediary interested in maximizing business value. Topics
include: how value is measured and created by understanding why “cash is king”; how the cost of capital is computed; benchmarking methods that pinpoint opportunities to maximize
business value; identifying the value drivers of the business and the 100 strategies to maximize business value. How an “outside” merger or acquisition can maximize business
value; and the specific courses of capital to finance internal growth plans and in making outside acquisitions. The course also discusses specific value-added services financial
consultants and business intermediaries can provide that maximize business value at the “deal stage” when a business is sold. IBBA Courses 210,220 and 221 are prerequisites, or equivalent business valuation experience.
“Advanced M&A Tax Strategies and Deal Structures” This course reviews the four strategies for saving taxes, with a quick overview of taxable business transactions. The main thrust of the course is to acquaint business brokers/intermediaries with specific advanced M&A tax strategies and deal structures to include pre transaction intra family transfers using family limited partnerships, private annuities and self-canceling installment notes; pre transaction company split-ups, spin-offs and split-offs which receive nontaxable divisive reorganization treatment; partial liquidation distributions when a portion of a company is sold; stock sales treated as asset sales under Section 338(h)(10). Nontaxable acquisitive reorganizations are discussed to include statutory mergers and forward or reverse triangular mergers. Charitable remainder trusts are covered in detail, plus the tax benefits of an ESOP, using an acquired company’s net operating loss carryover, the qualified small business company gain rollover, and various other advanced M&A tax saving strategies. Cashing Out: Exit Planning for the Privately Held Business Owner This 3-hour workshop gives Business Owners, and/or their advisors, a framework which they
can use surrounding the sale or transfer of a privately held business. The workshop describes the business Owner’s Wealth Accumulation Life Cycle, four areas of advanced planning for Business Owners, the Exit Planning Playing Field, why “Timing is Everything”,
the three business growth stages, the four key elements to growing a privately held business, the Universe of Business Buyers (and/or Transferees), the levels of value for
